Terms of Service
These terms govern your use of Tranzo POS. By creating an account, subscribing, or otherwise using the service, you agree to them. If you do not agree, do not use the service.
1. The service
Tranzo POS is a point-of-sale and business-management platform delivered as software-as-a-service, accessible via web, mobile app, and desktop app. Features available to your account depend on the subscription plan you choose.
2. Your account
You must provide accurate information when creating an account. You are responsible for keeping your password secure and for everything done under your account, including actions taken by staff you invite. Notify us immediately at hello@tranzopos.com if you suspect unauthorised access.
You must be 18 or older and legally capable of entering into a binding contract in Kenya (or in the country where your business operates) to open an account.
3. Subscriptions, trials, and billing
- We offer a 14-day free trial. No payment is taken during the trial. At the end of the trial, you must choose a plan to keep using the service.
- Plans are billed monthly in Kenyan Shillings (KES) unless agreed otherwise in writing.
- Current plans: Starter KES 2,900 ยท Growth KES 7,900 ยท Enterprise KES 19,900. Prices may change with 30 days' notice to account owners.
- Subscriptions auto-renew at the end of each billing period unless cancelled at least 24 hours before renewal.
- We do not offer pro-rata refunds for partial months, except where required by law.
4. Acceptable use
You agree not to:
- Use the service for any illegal activity, including tax evasion or money laundering
- Circumvent or attempt to bypass security, billing, or access controls
- Resell, white-label, or sublicense the service without a written agreement
- Use the service to harass, defraud, or deceive third parties
- Submit false data to KRA (eTIMS) through our platform. We cooperate fully with lawful KRA investigations
- Upload malware, send spam through our systems, or otherwise interfere with the service
We may suspend or terminate accounts that breach these rules, with or without notice depending on severity.
5. Data ownership
You own your data. We process it on your behalf to deliver the service. You can export your data at any time from the dashboard. On account closure, we will delete or anonymise your data subject to the retention schedule in our Privacy Policy.
6. Our obligations
We will use commercially reasonable efforts to keep the service available and secure. We target high availability but do not guarantee uninterrupted access. Scheduled maintenance is announced in advance where possible.
7. Third-party services
Tranzo POS integrates with third parties โ among them Pesapal, Safaricom M-Pesa, KRA eTIMS, Google Cloud, Resend, and Google Gemini. Their own terms and privacy policies apply to your use of those services through Tranzo POS. We are not responsible for their acts or omissions, but we will work with you to resolve issues where possible.
8. Fees and taxes
Prices are exclusive of VAT unless stated otherwise. Where VAT or other taxes apply, they will be added to your invoice. You are responsible for all taxes arising from your own sales and for filing them correctly with KRA.
9. Warranty disclaimer
The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure against every conceivable attack.
10. Limitation of liability
To the fullest extent permitted by law, Tranzo POS's total liability to you under these terms, whether in contract, tort, or otherwise, is limited to the greater of (a) KES 10,000 or (b) the total fees you have paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.
Nothing in these terms limits liability that cannot be limited under Kenyan law โ for example, for gross negligence, fraud, or death or personal injury caused by negligence.
11. Indemnity
You will indemnify and hold Tranzo POS harmless against any third-party claim arising from your use of the service in breach of these terms, including any claim that data you uploaded infringes a third party's rights.
12. Termination
You may close your account at any time from the dashboard or by emailing us. We may suspend or terminate your access immediately if you breach these terms in a way that causes harm to us, other merchants, or the public, or if required by law. On termination, clauses that by their nature should survive (e.g. limitation of liability, governing law) will continue to apply.
13. Changes to these terms
We may update these terms as the product evolves. When we make material changes, we will notify account owners by email at least 14 days before the changes take effect. Continued use after that date constitutes acceptance.
14. Governing law and disputes
These terms are governed by the laws of Kenya. Any dispute arising from or relating to these terms or the service will be resolved in the courts of Kenya, unless both parties agree in writing to arbitration in Nairobi under the Arbitration Act, 1995.
15. General
- If any provision of these terms is held unenforceable, the remaining provisions remain in effect.
- Our failure to enforce any right is not a waiver of that right.
- You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of substantially all of our assets.
- These terms, together with our Privacy Policy, are the entire agreement between you and Tranzo POS regarding the service.
